Terms of Service

These Terms of Service ("Terms") govern your use of the NexaFleet Quantum mobile application and admin portal (the "Service") operated by NexaFleet Quantum Ltd ("we", "us", "our"), a company registered in England and Wales with company number 17427797. Our full statutory details are on our Company Information page. By using the Service, you agree to these Terms.

1. The Service

NexaFleet Quantum is a fleet management platform for vehicle collection and delivery operations, including digital Proof of Collection (POC), Proof of Delivery (POD), job management, invoicing, driver messaging, and optional AI-assisted support features.

2. Accounts

Fleet administrators subscribe on behalf of their organisation and are responsible for billing, user management, and compliance with these Terms.
Drivers are provisioned by their fleet administrator. Driver login credentials are provided by the administrator — drivers do not self-register through the mobile app.
You are responsible for keeping your login credentials confidential and for all activity under your account.

3. Subscriptions & Billing

Fleet subscriptions are billed monthly via Stripe according to the plan selected (driver seat limits apply). Fees are charged to the organisation administrator, not individual drivers. Subscription management is handled through the admin portal or Stripe customer portal where applicable.

4. Acceptable Use

You agree not to:

Use the Service for any unlawful purpose or in violation of applicable transport or data protection laws.
Upload false, misleading, or fraudulent appraisal records.
Attempt to access data belonging to other organisations.
Reverse engineer, scrape, or disrupt the Service or its infrastructure.
Use the AI assistant to generate harmful, illegal, or deceptive content.

5. Your Data & Appraisal Records

Appraisal data (photos, signatures, damage records, etc.) belongs to your organisation. You grant us a licence to store, process, and display this data solely to provide the Service. You are responsible for ensuring you have the right to capture and store customer and vehicle data in accordance with applicable law.

6. AI Assistant

The Driver and Fleet Assistants provide general operational guidance based on your job context. AI responses are informational only — they do not replace professional judgement, legal advice, or official procedures. Always verify critical information before acting on it, especially while driving.

7. Availability & Offline Use

We aim to keep the Service available but do not guarantee uninterrupted access. The mobile app supports offline capture; data syncs when connectivity returns. We are not liable for delays caused by network outages or device limitations.

8. Limitation of Liability

To the fullest extent permitted by law, we are not liable for indirect, incidental, or consequential damages arising from use of the Service. Our total liability is limited to the fees paid by your organisation in the twelve months preceding the claim.

9. Termination

Administrators may cancel subscriptions through the billing portal. We may suspend or terminate access for breach of these Terms. Driver accounts are removed by the fleet administrator. See our Privacy Policy for data handling on account closure.

10. Changes

We may update these Terms from time to time. Continued use after changes constitutes acceptance of the revised Terms.

11. Governing Law

These Terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction over any dispute arising from them.
